1. Agreement to Terms

By accessing or using PortQuant ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and PortQuant regarding your use of the Service.

2. Description of Service

PortQuant provides trading portfolio analysis tools, including but not limited to:

• Portfolio performance tracking and visualization
• Equity curve and drawdown analysis
• Trade statistics and metrics
• Strategy grouping and mapping

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Keep your API keys secure and confidential
• Notify us immediately of any unauthorized access
• Not share your account with others
• Provide accurate email address for authentication

5. Subscription Plans

The Service offers various subscription tiers with different features and limitations. By subscribing to a paid plan, you agree to:

• Pay all applicable fees for your chosen plan
• Authorize recurring charges for subscription renewals
• Accept that features may vary between plans

6. Fair Use Policy

All accounts are subject to a fair use policy. The Service is intended for individual traders to analyze their own trading activity within the limits of their subscription plan.

Accounts found to be abusing the Service — including but not limited to automated scraping, excessive API calls, sharing account access with multiple users, or using the Service in ways that degrade performance for other users — may be suspended or terminated without prior notice.

We reserve the right to suspend or terminate free accounts that remain inactive for an extended period or are not connected to an actively syncing broker account. We will make reasonable efforts to notify you by email before taking such action.

7. Refund Policy

You may cancel your subscription and request a full refund within 14 days of your initial purchase date. This refund policy applies only to the first payment made when initially subscribing to a paid plan.

Subsequent subscription renewal payments (recurring charges) are not eligible for refunds. You may cancel your subscription at any time to prevent future charges, but no refunds will be issued for payments already processed after the initial 14-day period.

8. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Share API keys or allow unauthorized access
• Abuse the Service in a way that impacts other users
• Violate any applicable laws or regulations
• Use the Service to transmit malware or harmful code

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and design, are owned by PortQuant and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of your trading data. By using the Service, you grant us a limited license to process your data solely to provide the Service to you.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data in compliance with GDPR and other applicable regulations.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of calculations
• Uninterrupted or error-free service

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTQUANT SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Trading losses or financial decisions based on our analysis
• Service interruptions or data inaccuracies

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless PortQuant, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

14. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our sole discretion. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. Data deletion follows our Privacy Policy.

15. Governing Law

These Terms are governed by the laws of the European Union and the member state wherePortQuant is established. Any disputes shall be resolved in the courts of that jurisdiction.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
